Confidentiality Agreement
1. Purpose
This Confidentiality Agreement describes how Reliobooks and Advisory ("we," "our," or "us") protects the confidentiality of all client information, business records, and financial data entrusted to us in the course of providing bookkeeping services.
2. Scope of Confidential Information
For the purposes of this agreement, "Confidential Information" includes but is not limited to:
- Financial records, statements, and transaction data
- Business strategies, plans, and operational details
- Client lists, vendor relationships, and pricing structures
- Tax identification numbers and banking information
- Employee and payroll records
- Any other information designated as confidential by the client
3. Our Obligations
We commit to the following with respect to your Confidential Information:
- No unauthorized disclosure: We will not share, sell, or disclose your Confidential Information to any third party without your explicit written consent, except as required by law.
- Limited access: Access to your information is restricted to personnel directly involved in delivering your bookkeeping services. All team members are bound by confidentiality obligations.
- Secure storage: All client data is stored in encrypted, access-controlled systems. We use industry-standard security measures including encrypted transmission (SSL/TLS), secure cloud storage, and role-based access controls.
- No personal use: We will not use your Confidential Information for any purpose other than providing the agreed-upon services.
4. Legal Exceptions
We may disclose Confidential Information in the following limited circumstances:
- When required by a valid court order, subpoena, or government regulation
- When necessary to comply with applicable laws or professional standards
- When required to defend against claims made against us by the client
- When the client has provided prior written consent to the specific disclosure
In the event of a legally required disclosure, we will notify the client promptly unless prohibited by law from doing so.
5. Data Retention and Destruction
We retain client data for the duration of the engagement and for a period necessary to comply with legal and professional obligations. Upon termination of the engagement and upon client request, we will:
- Return all original client documents and records
- Securely delete or destroy electronic copies of Confidential Information within a reasonable timeframe
- Provide written confirmation of destruction upon request
6. Professional Standards
As a Professional bookkeeping firm, we adhere to the confidentiality standards established by the Professional Accounting Standards. These standards require us to maintain the confidentiality of client information obtained during the course of our professional engagement.
This obligation extends beyond the termination of the client relationship and continues indefinitely.
7. Breach Notification
In the event of a data breach that affects your Confidential Information, we will:
- Notify affected clients within 72 hours of discovery
- Provide details of the breach, the data affected, and remediation steps
- Cooperate fully with the client's response efforts
- Take immediate steps to contain and prevent further unauthorized access
8. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information
- Notifying us promptly of any changes to authorized contacts
- Maintaining the confidentiality of their own login credentials and access information
- Informing us of any specific confidentiality requirements beyond this agreement
9. Third-Party Service Providers
We use select third-party service providers for data storage, analytics, and communication. All providers are vetted for security and are contractually bound to confidentiality obligations consistent with this agreement. Our current service providers include:
- Supabase: Secure database and authentication services
- Firebase: Website hosting and deployment
- Google Analytics: Website traffic analysis (anonymized data only)
We do not sell, share, or provide client data to third parties for marketing or advertising purposes.
10. Amendments
We may update this Confidentiality Agreement from time to time. Material changes will be communicated to active clients via email. Continued use of our services after notification constitutes acceptance of the updated terms.
